1.Definitions
In these Enterprise Data Terms, the following capitalized terms have the meanings given below. Other capitalized terms are defined inline where they first appear.
- "VidScore" means VidScore LLC, a Massachusetts limited liability company.
- "Customer" means the individual or legal entity identified as the purchaser on the applicable order form, Stripe checkout receipt, or invoice for a VidScore Enterprise Data subscription. Where these Terms impose obligations on Customer, those obligations bind both the purchasing entity and any affiliated entities that access or use the delivered data under the same subscription.
- "Authorized User" means any employee, contractor, or advisor of Customer to whom Customer grants access to the enterprise customer portal or delivered data, subject to the team roles and confidentiality obligations described in these Terms.
- "Order Form" means the applicable checkout record or invoice that sets the subscription tier, price, billing cycle, delivery cadence, and scope of Customer's subscription.
- "Data Feed" means the structured entity intelligence files (JSONL and, for Growth and Scale tiers, Parquet) that VidScore delivers to Customer under these Terms.
- "Services" means the VidScore Enterprise Data product, including generation of the Data Feed, delivery of files via the enterprise customer portal, and related support.
If you receive VidScore Data Feeds on behalf of an organization, these Terms bind that organization as Customer and you personally as its authorized representative. By accepting these Terms, you represent that you have authority to bind the organization.
2.Scope and Applicability
These Enterprise Data Terms of Service govern the delivery and use of VidScore structured Data Feeds provided to enterprise subscribers who subscribe via checkout on vidscore.ai or under an executed Order Form.
- These Terms apply to all JSONL and Parquet Data Feed subscriptions, including trial and evaluation periods
- Scope, volume, delivery frequency, and pricing for each subscription are defined by the tier Customer selects at checkout or in the applicable Order Form
- In the event of a conflict between these Terms and an Order Form, the Order Form controls
- These Terms do not govern use of the VidScore Chrome extension or consumer website features
3.Data Product Description
The VidScore Enterprise Data Product is a structured intelligence feed delivered as JSONL files. Each delivery contains entity-level records extracted and derived from publicly available YouTube video content.
- Entity extractions: people, brands, products, and organizations mentioned in video content
- Sentiment scores: per-entity and per-video sentiment assessments
- Quality assessments: production quality, content depth, and engagement signals
- Structured metadata: channel context, video categorization, and temporal markers
- Claim extractions: specific factual statements attributed to entities
The exact schema, fields, and coverage are documented in the data dictionary provided with Customer's subscription. VidScore may add fields or expand coverage over time; removal of existing fields will be communicated with at least 30 days notice.
4.Derived Data: Not Raw Content
VidScore Data Feeds contain derived analytical output, not raw YouTube content. The data product does not include and will never include:
- Video files, audio files, or streaming content
- Full or partial video transcripts
- Thumbnail images or screenshots
- Raw YouTube API responses or metadata dumps
- Personally identifiable information of private individuals
All values in the Data Feed are the result of VidScore's analytical processing: entity recognition, sentiment classification, quality scoring, and structured summarization. The output represents VidScore's interpretation of public content, not a reproduction of that content.
5.Usage Rights
Subject to these Terms and the applicable Order Form, VidScore grants Customer a non-exclusive, non-transferable license to use the delivered Data Feeds for the following purposes:
- Internal business analysis, research, and decision-making
- Training, fine-tuning, or evaluating machine learning models for Customer's own products and services
- Building internal or commercial products and features that incorporate VidScore-derived insights
- Enriching Customer's own datasets with VidScore entity intelligence
- Sharing with employees, contractors, and advisors under confidentiality obligations
Customer may display aggregated or transformed insights derived from the data in Customer's own products, dashboards, and reports. Attribution to VidScore is appreciated but not required for derived outputs.
Team Access and Administration
Every subscription tier includes unlimited team seats. Customer's designated administrators may invite Authorized Users to access the enterprise customer portal and download delivered data. The portal uses a two-role model:
- Administrators can invite, remove, and change the role of Authorized Users, configure delivery settings, access billing, and review the full activity log for Customer's organization
- Members can download deliveries, view delivery history, and view their own activity log entries
Customer is solely responsible for managing its team roster, including promptly removing individuals who no longer require access (e.g., departing employees). VidScore enforces a last-administrator safeguard that prevents removing the final administrator of an organization to protect Customer from lockout, but otherwise makes no judgment about whom Customer chooses to grant access to.
All portal actions (including sign-ins, downloads, role changes, and settings changes) are recorded in an append-only activity log scoped to Customer's organization. Administrators may export this log to CSV at any time. VidScore retains the log for 365 days before automatic pruning.
6.Restrictions
Customer may not:
- Resell, sublicense, or redistribute the raw JSONL Data Feed or substantial portions thereof to third parties
- Operate a data brokerage or resyndication service using VidScore data as a primary input
- Provide bulk data access to the unmodified feed to any third party, whether for free or for a fee
- Reverse-engineer VidScore scoring methodology from the delivered data
- Use the data to harass, defame, or target individuals
- Misrepresent the Data Feed as originating from YouTube, Google, or any source other than VidScore
For clarity: building products that surface insights derived from the data is permitted. Reselling the Data Feed itself is not. If Customer is unsure whether a use case qualifies, Customer should contact VidScore before proceeding.
7.Delivery and SLA
Data Feeds are delivered on the schedule determined by Customer's subscription tier, either weekly or biweekly. Delivery mechanics:
- Files are delivered as JSONL and, for Growth and Scale tiers, Parquet files via a secure download portal with time-limited access links
- Each delivery includes record counts, schema version, and coverage period metadata
- VidScore targets delivery within the agreed window but does not guarantee real-time or minute-level precision
- If a delivery is delayed beyond 48 hours past the scheduled window, VidScore will notify Customer with an estimated resolution time
- Customer will receive an email notification when each delivery is ready for download
Portal file retention window:
Every delivery remains downloadable from the customer portal for a fixed window measured from its delivery date. After the window expires, VidScore removes the file from the download portal and retracts the signed download link. The delivery record itself (date, record count, file size, industries covered) stays visible in portal history permanently.
- Starter tier: 90 days of portal download access per delivery
- Growth tier: 180 days of portal download access per delivery
- Scale tier: 365 days (1 year) of portal download access per delivery
- Customer is responsible for downloading and archiving files Customer wants to retain beyond the tier retention window
- Retention is measured from the original delivery date and is not extended by tier upgrades or reduced by tier downgrades for deliveries already made
- VidScore cannot reissue or re-generate a delivery after its portal retention window has expired
8.Data Freshness and Snapshots
Each data delivery is a point-in-time snapshot. It reflects VidScore's analysis of content that was publicly available during the coverage period.
- Entity extractions reflect what was said in videos analyzed during the coverage window
- Sentiment scores may shift between deliveries as new content is analyzed or models are updated
- Videos may be deleted, made private, or edited by creators after VidScore has analyzed them
- VidScore does not retroactively update previous deliveries when source content changes
- Historical deliveries should be treated as immutable records of analysis at that point in time
9.AI-Derived Values Disclaimer
VidScore Data Feeds are produced using a combination of large language models, natural language processing, and proprietary analytical pipelines. All derived values are probabilistic, not deterministic.
- Entity extraction: Names and organizations are identified algorithmically. False positives (spurious entity matches) and false negatives (missed mentions) will occur.
- Sentiment scores: Sentiment is classified on a scale, not measured. Scores represent model confidence in a sentiment direction, not objective truth.
- Quality assessments: Production quality and content depth scores reflect model judgment. They are consistent within VidScore's system but are not industry-standard benchmarks.
- Claim extraction: Specific statements attributed to entities are extracted summaries. They may simplify, omit nuance, or misattribute in edge cases.
VidScore continuously improves its models. This means scores and extractions for the same content may differ between deliveries as methodology evolves. VidScore documents material methodology changes in release notes accompanying each delivery.
10.Intellectual Property
VidScore LLC retains all rights to its scoring methodology, analytical frameworks, models, software, and data processing infrastructure.
- Scoring algorithms, model weights, and processing pipelines
- The JSONL schema, field definitions, and data dictionary
- Derived structured data as a compiled dataset
- The VidScore brand and all associated marks
Customer owns the products, models, and insights Customer builds using VidScore data. VidScore makes no claim to Customer's derivative works, trained models, or internal analyses, provided they do not contain or expose the raw Data Feed in a form that would enable reconstruction of the feed itself.
Video content, channel names, and all YouTube-sourced material referenced in the Data Feed are property of their respective creators and rights holders.
11.Confidentiality
Both parties will protect the other's confidential information with reasonable care.
- The Data Feed schema, pricing, and delivery mechanics are VidScore confidential information
- Customer's usage patterns, Order Form details, and business context shared with VidScore are Customer's confidential information
- Neither party will disclose the other's confidential information to third parties without written consent
- Confidentiality obligations survive termination for three years
Information that is publicly available, independently developed, or required to be disclosed by law is not subject to confidentiality obligations.
12.Payment Terms
Service begins after payment is received.
- Subscriptions are billed monthly in advance via credit card, ACH, or invoice
- No deliveries are made until the first payment clears. Service begins after payment is received
- Growth and Scale subscribers may elect to pay by invoice with net-30 terms. VidScore will issue an invoice at the start of each billing period; payment is due within 30 days of the invoice date
- If an invoice remains unpaid after 30 days, VidScore may suspend deliveries until payment is received. If payment is not received within 60 days of the invoice date, VidScore may terminate the subscription
- All fees are non-refundable for the current billing period
- Cancellation takes effect at the end of the current billing period. Customer retains access to all data already delivered
- VidScore may suspend deliveries immediately for failed or disputed payments
- Pricing may change with 30 days written notice before Customer's next billing cycle
- All fees are in USD
13.Limitation of Liability
VidScore LLC provides the Data Feed "as is" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement.
VidScore's total liability under these Terms will not exceed the fees paid by Customer to VidScore in the twelve months preceding the claim.
VidScore is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business, cost of procurement of substitute data, or reputational harm, even if advised of the possibility.
VidScore is not liable for decisions made using the Data Feed, models trained on the data, or products built incorporating VidScore-derived insights. These limitations apply to the maximum extent permitted by applicable law.
14.Term, Termination, and Data Retention
Subscriptions are month-to-month and may be cancelled at any time.
- Either party may cancel at any time. Cancellation takes effect at the end of the current billing period
- No refunds are issued for the current billing period
- VidScore may terminate immediately for material breach, including violation of the redistribution restrictions in Section 6
- VidScore may suspend deliveries immediately for failed or disputed payments
Data retention after termination:
- Customer may retain and continue to use all data files delivered during the active subscription term
- Customer's usage rights under Section 5 survive termination for data already delivered
- The restrictions in Section 6 survive termination indefinitely
- VidScore will cease new deliveries on the termination effective date
- VidScore has no obligation to provide historical backfills or re-deliveries after termination
15.Governing Law and Contact
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes not resolved by mutual agreement will be resolved by binding arbitration under JAMS rules, or in courts of competent jurisdiction in Massachusetts.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force
- Entire agreement: These Terms plus the applicable Order Form constitute the entire agreement for the data subscription
- Assignment: VidScore may assign these Terms in connection with a merger, acquisition, or sale of assets. Customer may not assign without written consent.
- Force majeure: VidScore is not liable for delivery delays caused by events beyond reasonable control, including natural disasters, internet outages, or third-party service failures
- Amendments: VidScore may update these Terms with 30 days written notice. Continued acceptance of deliveries after the effective date constitutes acceptance.
